What does a GmbH or UG legally require of a business address?
The law is unambiguous: corporations such as a GmbH or UG must enter a domestic business address in the commercial register. That address must be capable of receiving service of process, meaning an authorised recipient must actually be reachable there so that authorities, courts and creditors can serve documents with legal effect.
A P.O. box alone is not enough. The distinction matters: a standard Deutsche Post box does not meet the requirement. A business address at a virtual office provider does, provided the provider formally confirms receipt and actually accepts the mail.
What gets entered in the commercial register: street, house number, postal code and city. The address becomes publicly visible. That is precisely why many founders want to protect their private address and rent a Berlin registered seat instead.

Holding structures face additional scrutiny. Because profits from subsidiaries are distributed through the holding and tax advantages arise, the tax office examines the substance of the address more closely. A pure mailbox address is not sufficient here — the address should be able to reflect genuine business operations.
Is a virtual address permitted for GmbH and UG commercial register entry?
Yes, with one important caveat. The law neither expressly permits nor prohibits virtual addresses. Several higher regional courts have confirmed that a virtual address is admissible as long as it is capable of receiving service of process and an authorised recipient is genuinely reachable there.
What that means in practice: the provider must accept mail and must ensure formal service — by a bailiff or an authority, for example — is possible. An address where nobody can be found and no company nameplate exists can lead the registry court to refuse the entry.

What does the notary check?
At the notary appointment, the articles of association are certified. The notary also reviews the business address and then files all documents with the Amtsgericht Charlottenburg. What does the tax office check?
The tax office recognises a virtual business address when it has substance. In concrete terms:
Reachability
Someone must genuinely be reachable at the address, not just a letterbox.
Consistency
The address should be used consistently across all documents, invoices and official correspondence.
Not a pure mailbox
A provider that merely collects mail without infrastructure is a risk signal. Tax offices are familiar with these arrangements.
Especially critical for holdings
Where profit distributions run through a holding for tax advantage, the address must credibly demonstrate genuine substance.
In the worst case, the tax office can withdraw the VAT number over a pure mailbox address. This is rare, but the risk can be avoided entirely with the right provider.
Using a private address as your registered seat carries an additional risk of what German tax law calls Betriebsaufspaltung, where private assets are attributed to business assets. A dedicated business address avoids this from the outset.

- How quickly does official mail reach you? Deadlines from the tax office or courts cannot be missed. The provider must notify you immediately when such mail arrives.
- Location and reputation of the address. An address in a recognised Berlin business district reads as more professional to clients, banks and partners than an unfamiliar side street.
