What does a GmbH or UG legally require of a business address?

The law is unambiguous: corporations such as a GmbH or UG must enter a domestic business address in the commercial register. That address must be capable of receiving service of process, meaning an authorised recipient must actually be reachable there so that authorities, courts and creditors can serve documents with legal effect.

A P.O. box alone is not enough. The distinction matters: a standard Deutsche Post box does not meet the requirement. A business address at a virtual office provider does, provided the provider formally confirms receipt and actually accepts the mail.

Because profits from subsidiaries are distributed through the holding and tax advantages arise, the tax office examines the substance of the address more closely. A pure mailbox address is not sufficient here — the address should be able to reflect genuine business operations.

Is a virtual address permitted for GmbH and UG commercial register entry?

Yes, with one important caveat. The law neither expressly permits nor prohibits virtual addresses. Several higher regional courts have confirmed that a virtual address is admissible as long as it is capable of receiving service of process and an authorised recipient is genuinely reachable there.

What that means in practice: the provider must accept mail and must ensure formal service — by a bailiff or an authority, for example — is possible. An address where nobody can be found and no company nameplate exists can lead the registry court to refuse the entry.
